The decision of whether to raise or accept capital from outside investors is one of the more critical decisions a business needs to make. For most business principals, the intricacies of equity financings are unfamiliar territory and at times may be intimidating. It is crucial that a business, in making such a decision, understands the business effects and specific terms surrounding the quity investment.
This roundtable will focus on term sheets for equity investments, including 'friends and family', venture capital and private equity financings. Michael Roberts of Connelly Roberts & McGivney LLC, who specializes in corporate transactions, will discuss the importance of those term sheets, including the terms to expect when receiving a term sheet, the significance of those terms and which terms to negotiate. Michael will distribute a sample term sheet which will be the basis of discussion. We look foward to seeing you there.
